Terms of Service

These Terms of Service ("Terms") govern your use of LeadWiseSystem, operated by Denecke Media LLC ("we," "us"). By creating an account, you agree to these Terms.

1. The Service

LeadWiseSystem is a lead tracking tool for small businesses. We provide a web application where you can track leads, log communications, manage tasks, and view your sales pipeline.

2. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • One person or organization per account. Sharing login credentials between unrelated parties is not permitted.
  • You must be at least 18 years old to create an account.

3. Your Data

You own your data. The leads, notes, communications, and other information you enter into LeadWiseSystem belong to you. We do not claim ownership of your content.

You can export your data at any time via CSV export. If you close your account, you can request a full data export before deletion.

We store your data to provide the service. We do not access, use, or share your business data for any purpose other than delivering the service to you.

4. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Upload malicious content or attempt to compromise the system
  • Exceed rate limits or abuse the API
  • Resell access to the service without written permission
  • Circumvent plan limits or billing

5. Plans and Billing

  • LeadWiseSystem offers paid plans (Solo, Starter, Pro) billed monthly or annually.
  • New accounts receive a 14-day free trial with Starter-level access.
  • Payments are processed by Stripe. By subscribing, you authorize recurring charges.
  • Annual subscriptions are billed upfront for the full year.
  • You can cancel anytime. Monthly plans stop at the end of the billing period. Annual plans are non-refundable but remain active through the paid period.
  • If payment fails, we will attempt to collect 3 times over 7 days. After that, your account reverts to expired status (read-only access).

6. Plan Limits

Each plan has limits on users and leads. If you exceed your plan limits, you will not be able to create new leads or invite new users until you upgrade or reduce usage. Existing data is never deleted due to plan limits.

7. Free Trial

The 14-day trial provides full access to the plan you selected at signup. A valid credit or debit card is required to start your trial. You will not be charged during the 14-day trial period. If you cancel before the trial ends, your card will not be charged. If you do not cancel, you will be automatically billed at the end of the trial for the plan you selected.

8. Cancellation and Termination

  • You cancel: Use the Stripe billing portal to cancel. Your subscription remains active through the paid period, then reverts to expired.
  • We terminate: We may suspend or terminate accounts that violate these Terms. We will provide notice except in cases of abuse.
  • Data after cancellation: Your data remains in read-only mode for 90 days after cancellation. After 90 days, we may permanently delete it. Request an export before this window closes.

9. Service Availability

We aim for high availability but do not guarantee 100% uptime. We are not liable for temporary service interruptions due to maintenance, infrastructure issues, or events beyond our control.

10. Limitation of Liability

LeadWiseSystem is provided "as is." To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability is limited to the amount you paid us in the 12 months before the claim.
  • We are not responsible for lost deals, missed follow-ups, or business outcomes resulting from use of the service.

11. Changes to These Terms

We may update these Terms from time to time. We will notify active users of material changes via email at least 14 days before they take effect. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States. Any disputes will be resolved in the courts of Walworth County, Wisconsin.
